Can I convert my OPC to a Pvt Ltd later?

Yes. An OPC can be voluntarily converted to a Private Limited Company at any time. It is also mandatory to convert if paid-up capital exceeds ₹50 lakh or average annual turnover exceeds ₹2 crore.

Who can be a nominee in an OPC?

The nominee must be an Indian citizen and resident (stayed in India for at least 120 days in the preceding financial year). The nominee cannot be a minor or already a nominee in another OPC.

What is the annual compliance for an OPC?

OPCs must file annual returns (MGT-7A), financial statements (AOC-4), income tax returns, and conduct at least one board meeting per half-year. Statutory audit is mandatory.

Can a foreign national register an OPC?

No. Only Indian citizens, whether resident or NRI, can be the sole member of an OPC.
